Mergers & Acquisitions

We tailor our approach to our clients’ expertise and experience and are equally familiar with advising acquirers on business acquisitions, to acting for management teams or business owners on their first or only acquisition or disposal. We are experienced in acting for buyers and sellers of privately owned businesses. We help buyers assess the risks presented by a transaction and protect them from potential liabilities. We ensure sellers maximize value and exit their business on their terms.

Your deal will benefit from an experienced corporate lawyer who will manage the process from start to finish, ensuring that potential problems are anticipated and dealt with before they arise. We lead the transaction, often from a very early stage, proactively managing interdisciplinary teams, each bringing specialist expertise. This ensures our clients receive commercially attuned, tailored advice and solutions which have been tested by a lawyer who understands the commercial drivers of the transaction.

We also advise on M&A transactions with an international dimension and transactions in our specialist sectors including Media & Entertainment and Technology.

Startup & Interim In-House Counsel

For public and private companies without a general counsel or legal department, we serve as an affordable and accessible part-time or interim in-house counsel on an as-needed basis. Working onsite at the company or offsite in our offices, we effectively and efficiently address and manage the company’s legal affairs, so the management team can devote their time to the business. You can have the benefit of an in-house “general” counsel, who understands your company, just like large publicly held companies have, but on a part time basis, as and when needed, and your legal matters will be monitored and supervised internally and professionally.

For those companies and organizations that have a general counsel and/or an existing in-house legal department, we provide time-sensitive onsite and off-site counsel solutions for complex transactional, corporate governance, licensing, joint venture agreements, on both an ongoing and project-specific basis.
